Viper Energy and VNOM Holding Company LLC adopted a distribution reinvestment plan, called the OpCo DRIP, allowing holders of Operating Company units other than Viper to reinvest cash distributions in additional units and corresponding Class B common stock. Diamondback elected to participate starting with the third quarter distribution payable on November 19, 2026.

Why it matters

The plan gives Viper greater flexibility in capital allocation, including potentially increased repurchases of Class A shares. Viper's CEO said Diamondback's decision reflects conviction in Viper's assets and long-term strategy and a dislocation between Viper's market value and its intrinsic value.

Reinvestment under the OpCo DRIP begins with the distribution payable November 19, 2026, and was unanimously approved by Viper's audit committee and board of directors. The reinvested amount, the number of units issued, and the scale of the plan relative to total distributions were not disclosed in the announcement.

The players

Viper Energy

Viper Energy is a Midland, Texas-based oil and gas company with mineral and royalty interests in the Permian Basin, which adopted the OpCo DRIP.

Diamondback Energy

Diamondback Energy is a Permian Basin oil producer and the controlling shareholder of Viper Energy, which elected to reinvest its distributions under the plan.

The details

Under the OpCo DRIP, holders of Operating Company units reinvest cash distributions in additional units and corresponding Class B common stock shares. Computershare Trust Company, N.A. will separately offer a dividend reinvestment program to registered holders of Class A common stock, and the securities issued under the plan have not been registered under the Securities Act of 1933.

Timeline

  1. November 5, 2026: Viper announces adoption of the OpCo DRIP.

  2. November 19, 2026: Diamondback's reinvestment begins with the third quarter distribution payment.

Market Landscape

Permian mineral and royalty companies have increasingly structured shareholder distributions around reinvestment rather than pure cash payouts. The OpCo DRIP places Viper within that approach by linking reinvestment to Operating Company units and Class B shares.

Holders of Operating Company units can choose to reinvest cash distributions into additional units and Class B shares rather than receive cash. Registered holders of Class A common stock will receive information on a separate Computershare dividend reinvestment program in the near future.

The takeaway

For Viper shareholders, the OpCo DRIP offers a way to keep distributions working inside the company rather than taking them in cash, subject to the plan's terms. Watch for Computershare's follow-up details if you hold Class A shares.

What happens next

Diamondback's reinvestment begins with the distribution payable November 19, 2026, and its continued participation will be reviewed quarterly.
